IMPORTANT – PLEASE READ CAREFULLY: By accessing or using PromoNexAI.com, you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use this service.
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and PromoNexAI B.V. ("PromoNexAI," "we," "us," or "our"), a company registered in the Netherlands, governing your use of the PromoNexAI.com website and services ("Platform").
PromoNexAI is an automated video generation platform that allows users to create marketing videos for e-commerce products by providing product URLs from supported platforms.
We support product URL scraping from the following platforms:
THIS IS A CRITICAL REQUIREMENT – VIOLATION WILL RESULT IN IMMEDIATE ACCOUNT TERMINATION
By submitting a product URL to our Platform, you explicitly represent, warrant, and confirm that:
Before scraping any product URL, you MUST check the consent box confirming: "I confirm that I am the owner of this product or have explicit authorization from the product owner to create marketing videos. I understand that using PromoNexAI for products I do not own or am not authorized to promote is strictly prohibited and may result in legal action."
You are STRICTLY PROHIBITED from:
PromoNexAI reserves the right to: request proof of product ownership or authorization at any time; suspend or terminate accounts suspected of unauthorized use; remove videos created without proper authorization; report suspected intellectual property infringement to relevant parties; cooperate with law enforcement and IP holders in investigations.
You must provide accurate, complete, and current information when creating an account and using our services.
You must comply with all applicable local, national, and international laws when using our Platform, including: intellectual property laws and regulations; consumer protection laws; advertising and marketing regulations; data protection and privacy laws (GDPR, CCPA, etc.); e-commerce platform terms of service (Amazon, eBay, Shopify, etc.).
PromoNexAI owns all rights, title, and interest in the Platform, including: website design, code, and functionality; logos, trademarks, and branding; video generation technology and algorithms; templates and design elements.
You retain ownership of your product data and images. By using our Platform, you grant PromoNexAI: a limited, non-exclusive license to process your content for video generation; permission to temporarily store your product images and data; right to display sample videos (with your permission) for marketing purposes.
You own the videos generated through our Platform and receive a perpetual, royalty-free license to use them for: commercial purposes and advertising; social media marketing; product promotion on any platform; modification and editing as needed. Note: Videos may include stock footage licensed through our third-party providers. You receive sublicense rights to use this content in your generated videos.
TO THE MAXIMUM EXTENT PERMITTED BY LAW: PromoNexAI is provided "AS IS" without warranties of any kind; we do not guarantee uninterrupted or error-free service; we are not liable for any indirect, incidental, or consequential damages; our total liability shall not exceed the amount you paid in the 12 months prior to the claim; we are not responsible for third-party platform changes (Amazon, eBay, etc.) affecting scraping functionality.
THIS IS CRITICAL – YOU AGREE TO PROTECT PROMONEXAI: You agree to indemnify, defend, and hold harmless PromoNexAI B.V., its directors, officers, employees, and agents from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from or related to: Unauthorized Product Use; Intellectual Property Infringement; False Representation; Violation of Terms; Violation of Laws; Third-Party Claims; Misleading Content. If someone sues PromoNexAI because you scraped their product without permission, YOU are responsible for all legal costs and damages, not us.
You may cancel your account at any time through account settings or by contacting support@promonexai.com
We reserve the right to suspend or terminate your account immediately, without prior notice, if: you violate these Terms of Service; you scrape products without proper authorization; we receive intellectual property infringement complaints; you engage in fraudulent or illegal activities; you abuse or overload our systems; you fail to pay for services; we are required to do so by law.
You immediately lose access to the Platform; all pending video generations will be cancelled; your data will be deleted after 30 days (see Privacy Policy); you remain liable for any obligations incurred before termination; no refunds will be provided for prepaid services.
Current pricing is available on our website at promonexai.com/pricing. Prices are subject to change with 30 days notice.
Payments are processed through Stripe (secure payment processor). All prices are in USD unless otherwise specified. Billing occurs monthly in advance. Failed payments may result in service suspension.
NO REFUNDS: Due to the immediate resource consumption of video generation, all payments are final and non-refundable. You may cancel your subscription at any time to prevent future charges.
Our Platform scrapes publicly available product information from e-commerce websites. We respect robots.txt files and rate limits; do not circumvent security measures or authentication; only access publicly visible product pages; are not responsible if platforms block or restrict access; may update or remove platform support at any time.
You remain subject to the terms of service of the platforms you use (Amazon, eBay, Shopify, etc.). PromoNexAI is not affiliated with these platforms and is not responsible for their policies or changes.
10.1 Governing Law: These Terms are governed by the laws of the Netherlands, without regard to conflict of law principles.
10.2 Jurisdiction: Any disputes shall be subject to the exclusive jurisdiction of the courts in the Netherlands.
10.3 Dispute Resolution: We encourage informal resolution through good-faith negotiations. Contact support@promonexai.com to initiate dispute resolution. If informal resolution fails, disputes will be handled through arbitration in the Netherlands. Each party bears its own legal costs unless otherwise awarded.
We may update these Terms from time to time. We will notify you of material changes by: posting the updated Terms on our website with a new "Last Updated" date; sending email notification to your registered email address; displaying a prominent notice on the Platform. Continued use of the Platform after changes take effect constitutes acceptance of the new Terms.
12.1 Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and PromoNexAI.
12.2 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force.
12.3 No Waiver: Failure to enforce any provision does not constitute a waiver of that provision or any other provision.
12.4 Assignment: You may not assign these Terms without our written consent. We may assign these Terms to any affiliate or successor.
